A comprehensive overview of one of today's most important and controversial topics
The need for sound corporate governance is the #1 item on many people's agendas today, from corporate directors and decision makers to investors looking to shield themselves from the next Enron-type disaster. But what exactly constitutes sound governance? And what should directors and managers do to ensure they can meet their governance responsibilities - whether legal, moral, or both?
What Is Corporate Governance? provides readers with concise yet comprehensive coverage of this hot-button subject. Following the reader-friendly format of McGraw- Hill's highly successful What Is . . . series, this one-stop overview of corporate governance features:
* Explanations of the laws and regulations that apply to corporate governance .
* Insights into the duties - and liabilities - of corporate directors .
* Discussion of the impact of Sarbanes-Oxley on corporate governance issues .

Grade 9 Up–In this comprehensive overview of the evolution of labor, more than 250 succinct entries, ranging in length from a paragraph to several pages, discuss the cultural, economic, and political aspects of work and its impact on society. Although the 60-page index is only available in volume two, each book begins with an alphabetical and a topical listing of entries. Included are discussions of major social movements, such as capitalism, communism, and democratic socialism, and how they helped to shape our view of work; profiles of individuals; and some surprises such as the article on the comic strip "Dilbert." How technology has and continues to change work is demonstrated with exemplary entries on Amazon.com, the dot-com revolution, and e-commerce. The intent to include all aspects of work is established with discussions as varied as the mommy track, work in film, and cowboys. Each signed entry includes see-also references and suggestions for further reading. Pertinent black-and-white photos and illustrations enhance the clear text. This well-documented resource concludes with a five-page time line, charts, and other useful material. For a more personalized perspective and firsthand accounts, use Catherine Reef's fine Working in America

"There is no feeling in the world like sitting in a side-door Pullman and watching the world go by, listening to the clickety-clack of the wheels, hearing that old steam whistle blowing for crossings and towns."--George Phillips in Riding the Rails At the height of the Great Depression, 250,000 teenage hoboes were riding the rails and roaming America. Some left home out of desperation and went looking for work and a better life, sometimes traveling hundreds of miles on the rumor of a job waiting farther down the line. Others left out of boredom; still others with a wanderlust and romantic idea of life on the road. The restless youth of these boxcar boys and girls, many who went from "middle-class gentility to scrabble-ass poor" overnight, is recaptured in Riding the Rails. Based on the award-winning documentary, this book dispels the myths of a hobo existence and reveals the hard stories of a daring generation of American teenagers-forgotten heroes-who survived some of the hardest times in our nations' history. Whether you're a "gaycat" (novice rider) or a "dingbat" (seasoned hobo), Riding the Rails is entertaining and inspiring, recapturing a time when the country was "dying by inches."

When David Souter was nominated by President Bush to the Supreme Court, he cited John Marshall Harlan as his model. It was an interesting choice. Admired by conservatives and deeply respected by his liberal brethren, Harlan was a man, as Justice William Brennan lamented, whose "massive scholarship" has never been fully recognized. In addition, he was the second Harlan to sit on the Court, following his grandfather--also named John Marshall Harlan. But while his grandfather was an outspoken supporter of reconstruction on a conservative court, the younger Harlan emerged as a critic of the Warren Court's liberal expansion of civil liberties. Now, in the first biography of this important but neglected jurist, Tinsley Yarbrough provides a detailed account of Harlan's life, from his privileged childhood to his retirement and death. Yarbrough examines the forces and events which shaped the Justice's jurisprudence--his early life and often complex family relationships, education at Princeton and Oxford, his work as a prosecutor during Prohibition, Republican Party activities, wartime service in the Army Air Force, and years as one of the nation's preeminent corporate lawyers (a career culminating in his defense of the du Pont brothers in the massive DuPont-GM antitrust suit). The book focuses, however, on Harlan's years on the high bench. Yarbrough weaves together discussions of the Justice's relations with his brethren, clerks, and staff, an examination of Harlan's role in the decision-making process on the Court, and an analysis of his jurisprudence. The Justice's approach to constitutional interpretation exalted precedent, deference to governmental power, and narrow decisions closely tied to case facts; but he also accepted an evolving, creative model of constitutional construction which permitted expansive readings of constitutional rights. Yarbrough's details Harlan's close relationship with Justice Frankfurter, showing how--despite their friendship and alliance--Harlan strongly marked out his own position, both personally and judicially, on the Warren and Burger courts. And he examines the substance and significance of his dissents in such famous cases as Miranda and the Pentagon Papers.

Rural Pennsylvania's landscapes are evocative, richly textured testimonjes to the lives and skills of generations of builders, architects, and craft workers. Farmhouses, barns silos, fences, and even field patterns attest to how residents over the years developed a sense of place that was not only functional but also comfortable and aestheticully appropriate for the time. From Sugar Camps to Star Borns tells the story of one such place, a landscape that evolved in southwestern Pennsylvania's Somersat County. Sally McMurry traces the rural life and landscape of Somerset County as it evolved from the earliest settlement days. Eighteenth-century residents were a forest people, living on sparsely built farmsteads and making free use of the heavily forested landscape (a use typified by the sugar camp). In the nineteenth century, the people of this area turned to farming. Prompted by the "market revolution," they pursued a highly varied agriculture combining a subsistance base with robust production of commodities shipped to distant cities. Their landscape reflected this combination of the local and the cosmopolitan - a combination that reached its full expression in the distinctive two-story banked farmhouse with double-decker porch, flanked by a substantial Pennsylvania barn. The twentieth century brought a more industrialized agriculture to Somerset County. This shift to profit-and-loss farming accentuated landscape elements specific to market products. The magnificent star barns of this era overshadowed the houses, and ancillary structures, such as "peepy houses" and silos, spoke to the pressures of efficiency and mass production. The subsequent rise of coal mining helped stimulate this trend as it compelled farmers to distinguish their landscapes from those of the coal-patch towns. Illustrated with over 100 photographs, maps, drawings, and diagrams, From Sugar Camps to Star Barns demonstrates how much we can learn about the economy and culture of a particular place simply by being attentive to the built landscape.

In Ellis Island to Ebbets Field, Peter Levine vividly recounts the stories of Red Auerbach, Hank Greenberg, Moe Berg, Sid Luckman, Nat Holman, Benny Leonard, Barney Ross, Marty Glickman, and a host of others who became Jewish heroes and symbols of the difficult struggle for American success. From settlement houses and street corners, to Madison Square and Fenway Park, their experiences recall a time when Jewish males dominated sports like boxing and basketball, helping to smash stereotypes about Jewish weakness while instilling American Jews with a fierce pride in their strength and ability in the face of Nazi aggression, domestic anti-Semitism, and economic depression. Full of marvelous stories, anecdotes, and personalities, Ellis Island to Ebbets Field enhances our understanding of the Jewish-American experience as well as the struggles of other American minority groups.

Forrest Pogue (1912-1996) was undoubtedly one of the greatest World War II combat historians. Born and educated in Kentucky, he is perhaps best known for his definitive four-volume biography of General George C. Marshall. But, as Pogue’s War makes clear, he was also a pioneer in the development of oral history in the twentieth century, as well as an impressive interviewer with an ability to relate to people at all levels, from the private in the trenches to the general carrying four stars.Pogue’s War is drawn from Forrest Pogue’s handwritten pocket notebooks, carried with him throughout the war, long regarded as unreadable because of his often atrocious handwriting. Pogue himself began expanding the diaries a few short years after the war, with the intent of eventual publication. At last this work is being published. Supplemented with carefully deciphered and transcribed selections from his diaries, the heart of the book is straight from the field. Much of the material has ever before seen print. From D-Day to VE-Day, Pogue experienced and documented combat on the front lines, describing action on Omaha Beach, in the Huertgen Forest, and on other infamous fields of conflict. He not only graphically—yet also often poetically—recounts the extreme circumstances of battle, but he also notes his fellow soldiers’ innermost thoughts, feelings, opinions, and attitudes about the cruelty of war.As a trained historian, Pogue describes how he went about his work and how the Army’s history program functioned in the European Theater of Operations. His entries from his time at the history headquarters in Paris show the city in the early days after the liberation in a unique light.Pogue’s War has an immediacy that much official history lacks, and is a remarkable and noteworthy addition to any World War II bookshelf.

A vivid tableau of the American conquest of the Pacific Coastю "With Broughton expedition, the Americans and the British had posted competing claims to a vast expanse of the Pacific Northwest. The area in contention would encompass all of present Oregon and Washington and parts of Idaho, Wyoming, Montana, and British Columbia. Robert Gray, the dour Yankee trader, and William Broughton, the obscure British naval officer, nonentities both, sailed away from the misty coasts of the Columbia in 1792, never to return. They had no way of knowing, of course, how it would all end. But the breathtaking effrontery of their claims set in motion events of fateful consequence, touching off a half-century of trade and diplomatic rivalry, a flood of Euroamerican settlement, and the displacement and virtual destruction of the immemorial inhabitants of what the contestants would come to call the Oregon Country.

This is the first full-length account of the CIA's coup d'etat in Iran in 1953a€”a covert operation whose consequences are still with us today. Written by a noted New York Times journalist, this book is based on documents about the coup (including some lengthy internal CIA reports) that have now been declassified. Stephen Kinzer's compelling narrative is at once a vital piece of history, a cautionary tale, and a real-life espionage thriller.

For one hundred years, God had held to his promise, and the colonists had as well. When the first Puritans sailed into Massachusetts in the seventeenth century, weak from the ocean journey, they formed a covenant with each other and with God to establish a city on a hill-a commitment to live uncorrupted lives together or all suffer divine wrath for their collective sin. But now, a century later, the arrival of one doomed ship would put this covenant to its greatest test.

On April 22, 1721, the HMS Seahorse arrived in Boston from the West Indies, carrying goods, cargo, and, unbeknownst to its crew, a deadly virus. Soon, a smallpox epidemic had broken out in Boston, causing hundreds of deaths and panic across the city. The clergy, including the famed Cotton Mather, turned to their standard form of defense against disease: fasting and prayer. But a new theory was also being offered to the public by the scientific world: inoculation. The fierce debate over the right way to combat the tragedy would become a battle between faith and reason, one that would set the city aflame with rage and riot.

The Pox and the Covenant is a story of well known figures such as Cotton Mather, James Franklin, and a young Benjamin Franklin struggling to fight for their cause among death and debate-although not always for the side one would expect. In the end, the incredible results of the epidemic and battle would reshape the colonists' view of their destiny, setting for America a new course, a new covenant, and the first drumbeats of revolution.

After thirty years, the debate over antitrust's ideology has quieted. Most now agree that the protection of consumer welfare should be the only goal of antitrust laws. Execution, however, is another matter. The rules of antitrust remain unfocused, insufficiently precise, and excessively complex. The problem of poorly designed rules is severe, because in the short run rules weigh much more heavily than principles. At bottom, antitrust is a defensible enterprise only if it can make the microeconomy work better, after accounting for the considerable costs of operating the system.

The Antitrust Enterprise is the first authoritative and compact exposition of antitrust law since Robert Bork's classic The Antitrust Paradox was published more than thirty years ago. It confronts not only the problems of poorly designed, overly complex, and inconsistent antitrust rules but also the current disarray of antitrust's rule of reason, offering a coherent and workable set of solutions. The result is an antitrust policy that is faithful to the consumer welfare principle but that is also more readily manageable by the federal courts and other antitrust tribunals.

Jim Rogan was born to a single mother -- a cocktail waitress who was later convicted of welfare fraud; his bartender-father abandoned them both before he was born. After a rough-and-tumble childhood in San Francisco's hardscrabble Mission District -- where he was raised by his colorful extended family -- he became a political junkie at the age of nine, and once received help with his homework from Harry Truman. But Rogan traveled with a tough circle of friends; after years of borderline delinquency he was expelled from high school, became a porn theater bouncer, and then a bartender at a strip joint and a Hell's Angels bar. Along the way, a young Arkansas politician advised him to study law and become a member of a different kind of bar.

In time Rogan scrapped his way through college and law school. He was appointed a Los Angeles County DA, prosecuting members of the notorious Crips and Bloods gangs; then became a judge, a state legislator, and finally a congressman from Southern California. And in 1998, as a Republican member of the House Judiciary Committee, he found himself prosecuting the impeachment of the President of the United States -- Bill Clinton, the same Arkansas politician who advised him to go into law and politics two decades earlier.

Rough Edges is a rarity among Washington tales: full of outrageous stories, wild humor, pull-no-punches candor, and downright fun. Replete with character and characters, and told in Rogan's engaging and unswervingly frank voice, Rogan's story is certainly the most freewheeling -- and perhaps the most honest -- political memoir ever written.
